1. Legal Status & Non-MLM Declaration
Darwin Platform Group of Companies, including Darwin Platform Refineries Limited (“Company”), hereby clarifies that:
* The Company does not operate a Multi-Level Marketing (MLM), pyramid, or chain referral scheme.
* No compensation, commission, or incentive is offered for recruitment or enrollment of persons.
* Any individual, agent, or third party misrepresenting the Company as an MLM or deposit/investment scheme shall be solely liable and subject to civil and criminal action, including registration of FIR under applicable laws.
1. Nature of Business
* The Company operates solely as a product-based electronic platform facilitating procurement, distribution, and promotion of refinery-related and allied products.
* The business model is transactional and product-driven, not financial or investment-driven.
* The Company does not accept deposits, nor does it run any collective investment or return-generating scheme.
1. Regulatory Compliance
* The Company affirms that its operations do not fall within the regulatory purview of SEBI as no securities, investment contracts, or collective investment schemes are offered.
* The Company is compliant with the provisions of the BUDS Act, and does not solicit or accept deposits in any form.
* All activities are conducted in accordance with applicable laws, including the Indian Contract Act, 1872, Information Technology Act, 2000, and other relevant statutes.
1. No Investment / No Return Assurance
* The Company does not guarantee, assure, or promise any fixed or variable returns, profits, or income.
* Any earnings, if applicable, arise strictly from sale, distribution, or promotion of products, and are subject to market conditions and individual effort.
* Any representation to the contrary by any person is unauthorized and illegal.
1. No Agency or Authority
* No distributor, vendor, promoter, or third party is authorized to:
* Bind the Company contractually
* Offer guarantees, warranties, or financial commitments
* Represent the Company in any regulatory or legal capacity
* The Company shall not be liable for unauthorized acts or misrepresentations by third parties.
1. Limitation of Liability
* The Company, its directors, officers, employees, and affiliates shall not be liable for any direct, indirect, incidental, or consequential losses, including but not limited to:
* Loss of profits or business
* Misinterpretation of platform content
* Unauthorized representations by third parties
* Liability, if any, shall be limited strictly to the value of the underlying product transaction.
1. “As Is” Basis
* All products, services, website, mobile applications, and content are provided on an “as is” and “as available” basis.
* The Company disclaims all warranties, express or implied, including merchantability, fitness for purpose, and accuracy.
1. User Responsibility
* Users and participants:
* Engage with the platform at their own discretion and risk
* Are responsible for verifying all information before acting
* Must comply with all applicable laws and regulations
* Any misuse, fraud, or misrepresentation shall result in termination and legal action.
1. Illustrative Content Disclaimer
* All images, audio, video, testimonials, and textual representations are illustrative in nature only.
* They do not constitute endorsement, guarantee, or factual representation of income, performance, or outcomes.
1. Anti-Misrepresentation & Fraud Clause
* Any person:
* Misusing the Company’s name
* Running unauthorized schemes
* Collecting funds in the Company’s name
shall be liable for prosecution under applicable laws including IPC, IT Act, and BUDS Act, and reported to enforcement agencies including EOW.
1. Dispute Resolution & Jurisdiction
* All disputes shall be resolved through arbitration under the Arbitration and Conciliation Act, 1996.
* A sole arbitrator shall be appointed by the Company.
* The seat and venue of arbitration shall be New Delhi, India.
* Courts at New Delhi shall have exclusive jurisdiction.
12. Acceptance
By engaging with the Company’s platform, products, or services, users acknowledge that they have read, understood, and agreed to these Terms & Conditions.
